These Terms of Use apply to your use of all nter.ai products, along with any associated software applications and websites (all together, “Services”). These Terms form an agreement between you and Tom Krause Beteiligungsgesellschaft mbH (“nter.ai”) and they include our Service Terms. By using our Services, you agree to these Terms. If you reside in the European Economic Area, Switzerland, or the UK, your use of the Services is governed by these terms. The Privacy Policy explains how we collect and use personal information. We recommend reading these policies, however they are not part of this agreement.

Who we are:‍

Nter.ai is a software company that provides services for you to make use of the vast possibilities in Artificial Intelligence.

Registration And Access:‍

Minimum Age. You must be at least 13 years old or the minimum age required in your country to consent using our Services. If you are under 18 you must have your parent or legal guardian’s permission to use the Services.

Registration:‍

You must provide complete and accurate information to register to use our Services. You must not share your account, the credentials or make your account accessible to anyone else and are responsible for all activities that happen in your account.

Usage Of Services:‍

Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws. You may not use our Services for any illegal, harmful, or abusive activity.

Third Party Services:‍

Our services may include third party software, products, or services, (“Third Party Services”). For example we currently offer the choice of using different Large Language Models, such as Open AI, Mistral AI, Google Vertex AI, Meta AI or Aleph Alpha. Without these additional Third Party Service the service of nter.ai may only be usable in a very limited fashion. By agreeing to our Terms you will need to ensure that you are familiar with the General Terms and Conditions of the Large Language Model that you are employing. We are not liable nor responsible for the terms by Third Party Services.

Input And Output:‍

You or the applications that you are creating may provide input to the Services and receive output from the Services based on your Input. You are responsible for Content, including ensuring that it does not violate any applicable law or our Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.

Paid Accounts:‍

Billing. If you purchase any Services, you will provide complete and accurate billing information, including a valid payment method. You are responsible for all applicable taxes. If your payment cannot be completed, we may downgrade your account.

Cancellation:‍

You can cancel your paid subscription at any time. Payments are non-refundable, except where this may be required by law.

Changes:‍

We may change our prices from time to time. If we increase our subscription prices, we will give you at least 60 days’ notice.

Termination And Suspension:‍

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine that you breached our Terms, Usage Policies or did not comply with the law.

Final Provisions:‍

Changes and amendments to this contract require written form to be effective (electronic form (§ 126a BGB) or text form (§ 126b BGB) are sufficient). This also applies to the abolition of the written form requirement.

The business relationship and all agreements provided by nter.ai and the user of the service are exclusively subject to German material law, excluding the provisions of international private law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

The place of performance and jurisdiction for all disputes arising from or in connection with the business relationship and the agreements based on the projects between nter.ai and the client is Hamburg.

Should any provisions of this contract be wholly or partially invalid, void, or unenforceable, this does not affect the validity of the remaining provisions. The invalid, void, or unenforceable provision is deemed to be replaced by a provision that economically comes closest to the recognizable will of the contractual partners at the time of the contract conclusion. The above applies analogously for contractual gaps.
